Terms of Use

Applies to: coposurface.com and related services operated by Copo Surface (the “Company”, “we”, “us”, “our”).

1) Acceptance of Terms

By accessing or using coposurface.com (the “Site”), creating an account, submitting a form, placing an order, or communicating with us, you agree to these Terms of Use (the “Terms”) and to our Privacy Policy. If you do not agree, do not use the Site.

2) Eligibility & Business Use

The Site primarily serves B2B customers (distributors, contractors, developers, importers). You represent that you have authority to bind your organization. If you are a consumer, local consumer laws may grant additional rights that cannot be waived.

3) Accounts & Security

  • You are responsible for all activities under your account and for safeguarding credentials.
  • Provide accurate, current, and complete information; update it as needed.
  • We may suspend or terminate accounts for breach, fraud, or security risks.

4) Site Content & Intellectual Property

The Site, including text, images, graphics, logos, product data, downloads, and code, is owned by Copo Surface or its licensors and protected by IP laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site solely for evaluating or purchasing our products and services. No other rights are granted. Do not copy, scrape, frame, reverse-engineer, or create derivative works without written permission.

5) User Submissions

Where you submit materials (e.g., drawings, specifications, reviews, testimonials), you grant us a worldwide, royalty-free license to use, reproduce, modify, and display such materials for the purposes of quotation, fulfillment, support, and portfolio/reference (excluding confidential information expressly marked as such).

6) Products, Specifications & Samples

  • Product images and swatches are illustrative. Color/texture may vary due to screens, batches, and natural effects.
  • Dimensions, tolerances, ratings (e.g., fire, weathering), and availability are subject to change. Confirm specifications in your quotation or PI.
  • Installation, local code compliance, and suitability for purpose are the buyer’s responsibility unless expressly stated in writing.
  • Custom orders may be non-cancellable and non-returnable once confirmed.

7) Quotes, Pricing & Taxes

  • Quotes are typically valid for the period stated (or 30 days if not stated) and subject to raw material, FX, and logistics changes.
  • Prices exclude taxes, duties, brokerage, installation, and permits unless expressly included.
  • Buyer is responsible for all applicable taxes and import/export clearances unless otherwise agreed.

8) Orders, Payment & Late Charges

  • Orders are accepted upon our written confirmation (e.g., Proforma Invoice). We may require deposits or full prepayment.
  • Payments may be via bank transfer, Stripe/PayPal, or other agreed methods. Wire/processing fees are borne by buyer.
  • Past-due balances may accrue interest at 1.5% per month (or the maximum allowed by law), plus collection costs.

9) Shipping, Delivery & Risk of Loss

  • Delivery terms are per the agreed Incoterms® (e.g., EXW, FOB, CIF). Risk of loss passes per the agreed term.
  • Transit times are estimates. We are not liable for delays caused by carriers, customs, or force majeure.
  • Inspect goods upon receipt and note any visible damage on the carrier’s receipt; notify us promptly.

10) Returns, Warranty & Claims

  • Return eligibility and RMA must be approved in writing. Custom products are generally not returnable.
  • Our warranty, if any, is as stated in your quotation/PI or product documentation. Misuse, improper installation, or unauthorized modifications void warranty.
  • Exclusive remedy: repair, replacement, or refund (at our option) for verified defects within warranty period.

11) Prohibited Uses

You agree not to use the Site for unlawful, infringing, harmful, or abusive purposes; to interfere with security or networks; to upload malware; to scrape or harvest data; or to bypass access controls.

12) Privacy & Cookies

Your use of the Site is also governed by our Privacy Policy, which explains how we collect and process personal data and how cookies/pixels operate.

13) Third-Party Services & Links

We may integrate with third-party services (e.g., payment gateways, analytics, logistics) or link to external websites. Their terms and privacy practices apply to their services.

14) Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY OR SALES AGREEMENT, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, OR ACCURACY). Some jurisdictions do not allow disclaimer of implied warranties; in such cases, the foregoing applies to the maximum extent permitted.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COPO SURFACE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUES, OR DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNTS PAID BY YOU TO US FOR THE PRODUCT OR SERVICE AT ISSUE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16) Indemnification

You will defend, indemnify, and hold harmless Copo Surface and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, breach of these Terms, or violation of law or third-party rights.

17) Compliance & Export

You agree to comply with all applicable laws, including export controls and sanctions. You will not use the products or Site in prohibited jurisdictions or for prohibited end uses.

18) Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including natural disasters, epidemics, wars, labor disputes, government actions, or failures of suppliers or carriers.

19) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Courts of competent jurisdiction located in Los Angeles County, California shall have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. Each party waives trial by jury to the extent permitted by law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

20) Changes to the Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest version. Your continued use of the Site after changes are posted constitutes acceptance.

21) Miscellaneous

  • Entire agreement: These Terms plus any signed quotation/PI or sales contract form the entire agreement for your Site use and related transactions.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or successor.
  • Notices: We may notify you via the Site, email, or your account contact details.
